We are seeking a highly motivated and experienced Corporate Counsel to join our legal team. The ideal candidate will have 3-5 years of experience in corporate law, with a strong background in US employment laws, contract negotiation, and corporate governance. This role requires excellent analytical skills, attention to detail, and the ability to work collaboratively with various departments within the organization. 

 

KEY RESPONSIBILITIES

Employment Matters: Support all aspects of US employment matters, including:

  • Manage administrative charges of discrimination with EEOC and state agencies, conduct fact investigation, collaborate with relevant teams, draft response/position statement, participate in mediation, supervise outside counsel where engaged.
  • Provide employment litigation support, conduct fact investigation, manage discovery requests, review litigation filings, participate in mediation and settlement negotiations.
  • Manage outside counsel and other legal service providers in the management of pending and threatened employment litigation and other employment related matters.
  • Manage administrative claims with other agencies including OSHA, DOL. Provide support to EHS team including legal review of OSHA complaint responses.
  • Support HR/People team on immigration issues.
  • Draft, review, revise employment related documents including but not limited to employment, compensation and restrictive covenant agreements, severance releases, and policies and process documents including handbooks, accommodation request process, and other employee facing policies.
  • Provide advice and counsel on employment related issues including but not limited to recruiting, wage & hour compliance, contract or contingent workers, employee relations, performance management, discipline and terminations, workplace investigations, reasonable accommodations, leaves of absence and discrimination, compensation and benefits, union issues, including WARN; and reductions in force.
  • Contract Management: Draft, review, and negotiate a wide range of commercial contracts, including vendor agreements, service contracts, and non-disclosure agreements.
  • Corporate Governance: Assist with corporate governance matters, including preparing board resolutions, minutes, and other corporate documents.
  • Legal Advice: Provide legal advice and support to various departments, including HR, finance, and operations, on a wide range of legal issues.
  • Training: Conduct training sessions for employees on legal topics, such as compliance and contract management.

     

QUALIFICATIONS, EXPERIENCE AND SKILLS

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the bar in at least one U.S. state.
  • 3-5 years of experience in corporate law, preferably in a corporate legal department or law firm.
  • Strong knowledge of US employment laws, contract law, and corporate governance.
  • Excellent analytical, communication, and negotiation skills.
  • Ability to work independently and as part of a team.
  • High ethical standards and professional integrity.Preferred Qualifications:
  • Experience in the Logistics, Freight Forwarding or Port & Terminal industry (preferred).
  • Proficiency in legal research tools and software (preferred).
